Form a US LLC from the UAE
Founders based in Dubai and Abu Dhabi — many of them expatriates running global e-commerce, consulting and software businesses — add a US LLC when they need to sell on Amazon.com and Walmart, bill US clients as a domestic vendor, or hold a US bank and Stripe account alongside their UAE operations.
At a glance for UAE founders
Formation is online and does not require a US visit or SSN. Incofile files the LLC, secures the EIN, provides the registered agent and US address, and lists every deadline in your client portal.
UAE company plus US LLC: the common structure
Most UAE-based founders keep their free-zone or mainland company for local and regional business and use the US LLC for US market activity: marketplace selling, US client contracts and US payment processing. The LLC can be owned by you personally or by your UAE company; the choice affects UAE corporate tax treatment and US withholding, so involve your UAE tax adviser.
Tax position without a treaty
The UAE has no income tax treaty with the United States. US-source income effectively connected with a US business is taxed in the US at standard rates; US-source passive income can face 30% withholding. Services performed from the UAE for non-US clients are generally not US-taxable. The UAE itself has no personal income tax, but UAE corporate tax (9% above the threshold) can apply if a UAE company owns the LLC or if the LLC is effectively managed from the UAE — a point worth a professional opinion.
US filings for a UAE-owned LLC
Single-member LLCs file Form 5472 with a pro-forma 1120 each year by April 15 ($25,000 penalty if missed); multi-member LLCs file Form 1065. Add the state annual report or franchise tax and the registered agent renewal. Where the LLC has US effectively connected income, a 1040-NR or corporate return follows.
Banking and payments
UAE-resident owners generally have straightforward access to Stripe, PayPal and US fintech banks (Mercury, Relay, Wise Business, Airwallex). Provide the LLC documents, EIN letter, passport and Emirates ID, and keep the business description identical across applications. For Amazon.com, the LLC's EIN, US address and US bank account complete the seller verification.

US LLC from United Arab Emirates — frequently asked questions
Can my UAE free-zone company own the US LLC?
Yes. Corporate ownership is allowed; the LLC is then reported on the UAE company's accounts and the US Form 5472 lists the UAE company as the related foreign party.
Is a US LLC subject to UAE corporate tax?
It can be, if it is owned by a UAE company or effectively managed and controlled from the UAE. The rules are new and fact-specific — get a UAE tax opinion.
Do I need a US address?
The registered agent address is included; a separate US business address (virtual address with mail scanning) is strongly recommended for banks, Amazon and Stripe.
How long does it take?
Typically 1–5 business days for state approval and 1–3 weeks for the EIN without an SSN.
LLC or C-Corp?
LLC for e-commerce, consulting and agencies. Delaware C-Corp if you will raise venture capital in the US.
