Form a US LLC from Nigeria

Nigerian developers, designers, agencies, e-commerce sellers and startup founders form US LLCs to reach payment rails that are hard to access from Nigeria: Stripe, full-featured PayPal, US marketplaces and dollar bank accounts. A US LLC also removes the friction of international clients paying a Nigerian individual.

Incofile handles formation, the EIN, registered agent and US business address entirely online. You need a valid passport and a clear description of the business — nothing more to start.

Why Nigerian founders use a US LLC

Access to Stripe and other processors in the LLC's name, a dollar bank account that is not subject to local FX queues, credibility with international clients and marketplaces, and the ability to sign contracts and receive payouts as a US company. Startups that want to raise from US investors usually go further and form a Delaware C-Corporation; for services and e-commerce an LLC is simpler and cheaper.

No tax treaty — what that means

Nigeria and the United States have no comprehensive income tax treaty in force. In practice: if your LLC earns US-source income that is effectively connected with a US trade or business, the US taxes it at normal rates with no treaty reduction; US-source passive income (for example certain royalties or interest) can be subject to 30% withholding with no treaty rate to claim. Services performed in Nigeria for clients anywhere are generally not US-source and not taxed by the US.

Nigeria taxes your worldwide income; FIRS allows unilateral relief for foreign tax in some cases. A Nigerian tax adviser should confirm your filing position.

Rules to know on the Nigerian side

Keep export proceeds and distributions flowing through documented channels; CBN rules on foreign-currency accounts and repatriation change frequently. Many founders hold dollars in the LLC's US account and move funds to Nigeria as needed. Identity verification with US banks and processors is strict — use your international passport, a clear website and consistent business details across every application.

US filings for a Nigerian-owned LLC

Form 5472 with a pro-forma 1120 each year by April 15 for a single-member LLC ($25,000 penalty if missed); the state annual report or license tax; registered agent renewal. If the LLC has US effectively connected income, a 1040-NR is also required. Incofile tracks the state deadlines in your portal and can introduce a US tax preparer.

US LLC from Nigeria — frequently asked questions

Will US banks accept a Nigerian owner?

Several fintech banks consider applications from Nigerian-resident owners case by case; approval depends on the bank's current country policy, your industry and documentation. A real website, LLC documents and EIN letter improve your chances. No provider guarantees approval.

Can I get Stripe with a US LLC from Nigeria?

Stripe US accounts are opened in the LLC's name; Stripe verifies the owner and the business's actual operations. Many Nigerian-owned LLCs operate Stripe successfully, but Stripe makes the final decision.

Is an LLC or a C-Corp better for a Nigerian startup?

For freelancing, agencies and e-commerce: LLC. For a venture-backed startup raising from US investors: a Delaware C-Corporation. Incofile forms both.

Do I pay US income tax?

Only on US-source effectively connected income. Services performed in Nigeria for foreign clients are generally not taxed by the US — but the annual Form 5472 filing is still mandatory.

Can I form the LLC with only a Nigerian passport?

Yes. A valid passport and your residential address are all the identification needed to form the LLC and apply for the EIN.
