These Terms of Service (“Terms”) apply when you use incofile.com or order services from Incofile (“Incofile”, “we”, “us”). By using our website or placing an order, you agree to these Terms. Please also read our Privacy Policy.
1. Incofile is not a law firm
Incofile is a document filing and business services company. We are not a law firm or an accounting firm, and we do not provide legal, tax or financial advice. Our guides and support are general information. Communications with us are not protected by attorney–client privilege. If you need advice about your specific situation, please consult a licensed attorney or tax professional.
2. Our services
We prepare and file business formation documents (such as LLCs and corporations) with US state agencies, and offer related services including registered agent service, EIN and ITIN applications, annual report filing, amendments, business license research, trademark services and virtual mailbox. Each service includes what is described on its page and in your order summary at the time you order.
3. Your responsibilities
- Give us complete, accurate and truthful information, and tell us promptly if anything changes.
- Make sure you are authorized to act for the company and the people named in your order.
- Review documents and information we send you and tell us quickly about any errors.
- Use our services only for lawful purposes.
We file based on the information you provide. We are not responsible for delays, rejections or costs caused by inaccurate or incomplete information.
4. Orders, prices and payment
- Our service fees are shown on our website and in your order summary before you pay.
- State filing fees and other government fees are set by each agency and are passed through at cost. The fee for your state is shown before you confirm your order.
- Formation packages are one-time payments. Some services, such as registered agent and virtual mailbox, renew; the renewal price and frequency are shown before you order.
- Payments are processed securely by our payment provider. By paying, you authorize us to charge the amount shown.
5. Processing times
We aim to prepare and submit your documents within one business day of receiving a complete order. Approval times are set by each state agency and the IRS and can range from same day to several weeks. Expedited options speed up our part and, where the agency offers it, the agency’s processing, but we cannot guarantee any agency’s timing.
6. Satisfaction guarantee and refunds
We want you to be happy with our service. If you are not satisfied, please contact us first so we can try to put things right.
- If you cancel before we submit your filing to the state or the IRS, we will refund our service fee in full.
- Once a filing has been submitted, government fees have been paid to the agency on your behalf and cannot be refunded by Incofile. Our service fee for work already completed is not refundable, but we will review any concern you raise in good faith.
- Refunds are returned to your original payment method.
7. Registered agent and mail services
Where you use our registered agent service, we will receive service of process and official state mail for your company at our registered agent address and make it available to you, normally by scanning it to your client portal and notifying you. You are responsible for checking your notifications and acting on documents by their deadlines. Keep your contact details up to date so notices reach you.
8. Your client account
You are responsible for keeping your login details confidential and for activity under your account. Tell us immediately if you suspect unauthorized access.
9. Website content
The content of our website, including text, guides, graphics and logos, belongs to Incofile or its licensors. You may use it for your own information but may not copy or republish it without our permission. Documents we prepare for your company are yours to use for that company.
10. Limitation of liability
To the fullest extent permitted by law, Incofile is not liable for indirect, incidental, special or consequential damages, or for lost profits or business opportunities, arising from your use of our website or services. Our total liability for any claim relating to a service is limited to the amount you paid us for that service. Nothing in these Terms limits liability that cannot be limited by law.
11. Ending services
You may stop using our services at any time. If you cancel a renewing service, it will not renew at the end of the current period. We may suspend or end services if you breach these Terms, do not pay amounts due, or use our services unlawfully. If you resign our registered agent service, you should appoint a new registered agent with your state.
12. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Florida, unless the law of your country of residence gives you a right to bring a claim locally.
13. Changes to these Terms
We may update these Terms from time to time. The version posted on this page with its “Last updated” date applies. Changes do not affect orders already placed.
