What you need to form an LLC in Ohio

Operating agreement
An operating agreement sets out who owns the LLC, how profits are split, how decisions are made and what happens if a member leaves. Ohio does not ask you to file it with the state, but banks usually want to see it, and without one the state's default rules apply. EIN (Employer Identification Number)
Your EIN is the federal tax ID for your LLC. You need it to open a business bank account, hire staff and file taxes. Ohio LLC naming rules
The name must include "limited liability company", "limited", "LLC", "L.L.C.", "ltd." or "ltd" and must be distinguishable from every entity on the Ohio register. Check availability with our free business name search.
Keeping your Ohio LLC compliant
No annual report
Ohio does not require LLCs to file annual reports or pay an annual state fee. You only file with the Secretary of State again if something changes, such as your statutory agent or your name.
Statutory agent
Ohio calls it a "statutory agent". It must have a physical Ohio street address, and the agent signs an acceptance on the Articles. If you form from outside Ohio, a professional agent such as Incofile is the easy option.
Taxes
Owners pay Ohio income tax on their share of profit (a flat 2.75% from 2026, after the business income deduction).
